By downloading, installing, accessing, or using the Software, you agree to be bound by this License. If you do not agree,
do not download, install, access, or use the Software.

1) Definitions

1.1) "Licensor" means Kurt Bugeja Coster.

1.2) "Software" means Alchemist, including its object code, documentation, and any updates, modifications, or related 
materials made available by the Licensor under this License, but excluding Third-Party Components.

1.3) "Third-Party Components" means software, libraries, frameworks, tools, or other materials included with, bundled 
with, or used by the Software that are owned by third parties and licensed under separate terms.

1.4) "Generated Output" means code, unit tests, files, reports, or other artifacts generated by the Software from or for 
your code, inputs, prompts, or repositories.

1.5) "Commercial Purpose" means any use of the Software for commercial advantage, monetary compensation, revenue 
generation, client work, consulting, contracting, managed services, or any other business or professional activity 
undertaken for economic benefit, whether or not profit is realised.

1.6) "You" or "your" means the individual or legal entity exercising rights under this License. If you accept this 
License on behalf of a legal entity, you represent and warrant that you have authority to bind that entity. If you do 
not, you must not accept this License or use the Software on its behalf.

2) License Grant

2.1) Subject to your compliance with this License, the Licensor grants you a limited, revocable, non-exclusive, 
non-transferable, non-sublicensable license to install and use the Software, in executable form only, solely for 
personal, educational, non-commercial evaluation, and non-commercial testing purposes.

2.2) No source code is licensed or required to be provided under this License.

3) Permitted Uses

Subject to this License, you may:

3.1) Install and use the Software in executable form only for the purposes permitted by clause (2.1).

3.2) Use the Software to analyse code and generate Generated Output for projects you own or are authorised to work on, 
provided your use of the Software is not for a Commercial Purpose.

3.3) Make a reasonable number of copies of the Software solely as necessary for backup or disaster recovery.

3.4) Conduct internal performance testing, evaluation, and benchmarking of the Software solely for your own private, 
non-commercial purposes.

4) Restrictions

Except as expressly permitted by this License or by applicable law that cannot lawfully be excluded or limited, you may 
not:

4.1) Use the Software for any Commercial Purpose.

4.2) Sell, sublicense, rent, lease, lend, assign, distribute, publish, transfer, or otherwise make the Software 
available to any third party.

4.3) Use the Software to provide any hosted, managed, service bureau, timesharing, software-as-a-service, or similar 
service to third parties where the Software or access to its functionality is made available to third parties.

4.4) Copy, modify, adapt, translate, create derivative works of, or make unauthorised reproductions of the Software, 
except as expressly permitted by this License.

4.5) Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive source code, trade secrets, or 
underlying non-public structure, ideas, or know-how from the Software, except to the limited extent expressly permitted 
by applicable law notwithstanding this restriction.

4.6) Remove, obscure, alter, or bypass any copyright, trademark, patent, confidentiality, attribution, licensing, 
activation, telemetry, feature-gating, technical protection, or other proprietary notices or mechanisms included in or 
associated with the Software.

4.7) Publish, disclose, or share any benchmark, comparison, or performance test results relating to the Software with 
any third party without the Licensor’s prior written consent.

4.8) Use the Software or its non-public features or non-public outputs to develop, train, validate, benchmark for public
comparative publication, or improve any product or service intended to replicate or substitute for the Software, except 
to the extent such restriction is prohibited by applicable law.

4.9) Use the Software in any manner that violates applicable law, regulation, or third-party rights.

4.10) Use the Software other than in accordance with its documentation and intended technical limitations.

Nothing in this License prohibits you from independently developing software, including competing software, provided you 
do not violate this License or infringe the Licensor’s intellectual property rights.

5) Generated Output

5.1) As between you and the Licensor, and subject to the Licensor’s rights in the Software, you own all right, title, 
and interest in Generated Output created through your lawful use of the Software.

5.2) The Licensor claims no ownership in your source code, repositories, data, prompts, or Generated Output solely by 
virtue of your use of the Software.

5.3) You are solely responsible for reviewing, testing, validating, and determining the fitness, accuracy, legality, and
non-infringement of any Generated Output before use, publication, or distribution.

6) Ownership and Reservation of Rights

6.1) The Software is licensed, not sold.

6.2) The Software and all intellectual property rights in and to it remain the exclusive property of the Licensor and 
its licensors.

6.3) Except for the limited rights expressly granted under this License, no rights are granted by implication, estoppel, 
exhaustion, or otherwise.

7) Third-Party Components

7.1) Third-Party Components may be subject to separate license terms, notices, and obligations.

7.2) Those separate terms govern the applicable Third-Party Components to the extent required by their respective 
licenses.

7.3) This License does not limit rights expressly granted to you under applicable third-party licenses.

8) Updates and Changes

8.1) The Licensor may, but is not obligated to, provide updates, upgrades, fixes, patches, enhancements, or 
modifications for the Software.

8.2) The Licensor may modify, suspend, restrict, or discontinue the Software or any part of it at any time, subject to 
any non-waivable rights you may have under applicable law.

9) Feedback

If you provide ideas, suggestions, proposals, recommendations, corrections, or feedback regarding the Software 
("Feedback"), you grant the Licensor a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up 
license to use, reproduce, modify, adapt, publish, display, distribute, sublicense, and otherwise exploit that Feedback 
for any purpose without restriction or compensation. You represent that you have the right to provide such Feedback.

10) Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available,” with all faults 
and without warranties or conditions of any kind, whether express, implied, statutory, or otherwise, including implied 
warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet 
enjoyment, accuracy, availability, security, and non-infringement.

The Licensor does not warrant that the Software or any Generated Output will meet your requirements, operate without 
interruption, be error-free, produce accurate results, or be secure or free of vulnerabilities.

You assume all risk arising out of or related to the use of or inability to use the Software and any Generated Output.

11) Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor and its licensors shall not be liable for any indirect, 
incidental, special, exemplary, punitive, or consequential damages, or for any loss of profits, revenue, business, 
goodwill, data, use, or business interruption, arising out of or relating to the Software, Generated Output, or this 
License, whether in contract, tort (including negligence), strict liability, or otherwise, even if advised of the 
possibility of such damages.

To the maximum extent permitted by applicable law, the Licensor’s and its licensors’ total aggregate liability arising 
out of or relating to the Software, Generated Output, or this License shall not exceed: (a) if the Software was provided 
free of charge, ten euro (EUR 10); or (b) otherwise, the amount you paid for the Software in the twelve (12) months 
preceding the event giving rise to the claim.

These limitations apply even if any limited remedy fails of its essential purpose.

12) Compliance with Laws

You are responsible for complying with all laws and regulations applicable to your use of the Software and any Generated 
Output, including applicable export control, sanctions, anti-corruption, privacy, and intellectual property laws.

13) Term and Termination

13.1) This License begins when you first download, install, access, copy, or use the Software and continues until 
terminated.

13.2) This License terminates automatically if you breach it.

13.3) The Licensor may terminate this License on written notice if required by law or to protect its rights in the 
Software.

13.4) On termination, you must immediately cease all use of the Software and delete or destroy all copies in your 
possession or control, except to the extent retention is required by law or exists only in routine backup archives not 
reasonably accessible in the ordinary course, provided no further use is made.

13.5) Clauses (4), (5.3), (6), (7), (9), (10), (11), (12), (13.4), (13.5), (14), (15), and (16) survive termination, 
together with any provisions that by their nature should survive.

14) Governing Law and Jurisdiction

This License and any non-contractual obligations arising out of or in connection with it are governed by the Laws of 
Malta, excluding its conflict of law rules.

The Courts of Malta have exclusive jurisdiction over any dispute arising out of or in connection with this License, 
except where applicable law grants you a non-waivable right to bring a claim in another forum.

15) Severability and Waiver

If any provision of this License is held unenforceable, invalid, or unlawful, it shall be enforced to the maximum extent 
permitted and the remainder shall remain in full force and effect.

No failure or delay by the Licensor in exercising any right or remedy operates as a waiver.

16) Entire Agreement and Assignment

This License constitutes the entire agreement between you and the Licensor concerning the Software and supersedes all 
prior or contemporaneous understandings relating to it.

You may not assign or transfer this License, in whole or in part, whether by operation of law or otherwise, without the 
Licensor’s prior written consent. Any attempted assignment in breach of this clause is void.

The Licensor may assign this License in connection with a merger, acquisition, reorganisation, or sale of assets 
relating to the Software.

You acknowledge that breach of this License may cause irreparable harm for which damages alone may be inadequate, and 
that the Licensor may seek injunctive or equitable relief in addition to any other remedies available at law.
